Mimro Shopping Assistant Terms of Service

Welcome to the Mimro Shopping Assistant ("Mimro Assistant"). These Terms of Service ("Terms") govern your use of the Mimro Shopping Assistant provided through the Climate Shopper AI system.

By accessing or using the Assistant, you agree to be bound by these Terms. If you do not agree, you must not use the Assistant.

1. Platform Structure and Ownership

The Mimro Shopping Assistant operates through a layered system:

  • Mimro Inc. — Owner and operator of the Mimro shopping platform, storefront, product catalog, and commerce operations

  • Climate Shopper AI — The AI-powered shopping assistant interface responsible for conversations, recommendations, and user interaction

  • Sanya Networks Inc. — Owner and developer of the underlying AI models, systems, and technology infrastructure powering Climate Shopper AI

The use of the Mimro Shopping Assistant does not grant users any ownership rights to any software, models, systems, or technology owned by Sanya Networks Inc.

2. Purpose of the Assistant

The Assistant is designed to:

  • Help users discover products available through Mimro and its partners

  • Provide personalized product recommendations

  • Answer shopping, product, and sustainability-related questions

  • Assist with customer support and order inquiries

  • Improve user shopping experience through AI interaction

The Assistant is provided for informational and shopping assistance purposes only.

3. AI-Generated Content Disclaimer

The Assistant uses artificial intelligence to generate responses.

You acknowledge that:

  • Responses may contain errors, omissions, or outdated information

  • Product availability, pricing, and details may change without notice

  • Recommendations are not professional legal, financial, medical, or environmental advice

  • Final purchasing decisions are your responsibility

All AI-generated content is provided on an "as is" basis.

4. Eligibility

You must be at least 18 years old, or have parental or guardian consent, to use the Assistant.

By using the Assistant, you confirm that you have the legal capacity to enter into this agreement.

5. User Conduct

You agree not to:

  • Use the Assistant for unlawful or harmful purposes

  • Submit false, misleading, or fraudulent information

  • Attempt to reverse engineer or disrupt the system

  • Upload malware or malicious code

  • Abuse, overload, or interfere with the service

  • Generate illegal, offensive, or discriminatory content

Mimro may restrict or terminate access for violations.

The Assistant may use interaction data to improve your experience, including:

  • Product preferences

  • Browsing behavior

  • Conversation history

This data is used to personalize recommendations and improve service quality.

7. Privacy and Data Use

Your use of the Assistant is governed by Mimro’s Privacy Policy.

You agree not to submit sensitive personal information such as:

  • Passwords

  • Government identification numbers

  • Medical or highly confidential data

8. Product Recommendations

The Assistant may recommend products from Mimro or third-party sellers.

Mimro does not guarantee:

  • Product accuracy or performance

  • Product availability

  • Suitability for specific user needs

  • Accuracy of third-party information

Users should independently verify product details before purchasing.

9. Orders and Transactions

  • Product listings are not binding offers

  • Orders are subject to acceptance by Mimro or merchants

  • Pricing errors may be corrected at any time

  • Orders may be cancelled due to system or AI-generated errors

10. Intellectual Property

All content, branding, systems, software, and technology associated with the Assistant remain the property of their respective owners:

  • Mimro Inc. — brand, storefront, and commerce platform

  • Sanya Networks Inc. — AI systems, models, and infrastructure

You may not copy, modify, distribute, or reverse engineer any part of the Assistant without written permission.

11. Service Availability

The Assistant may be temporarily unavailable due to:

  • Maintenance

  • Technical failures

  • Third-party outages

  • System updates

Mimro may modify, suspend, or discontinue features at any time.

12. Disclaimer of Warranties

The Assistant is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Mimro disclaims all warranties including:

  • Accuracy

  • Reliability

  • Fitness for a particular purpose

  • Non-infringement

AI-generated responses are not guaranteed to be accurate or complete.

13. Limitation of Liability

To the fullest extent permitted by law, Mimro shall not be liable for:

  • Indirect or incidental damages

  • Loss of profits or revenue

  • Business interruption

  • Reliance on AI-generated recommendations

14. Indemnification

You agree to indemnify and hold harmless Mimro Inc., Climate Shopper AI operators, and Sanya Networks Inc. from any claims arising from:

  • Your use of the Assistant

  • Violation of these Terms

  • Misuse of recommendations or services

15. Changes to Terms

Mimro may update these Terms at any time.

Continued use of the Assistant constitutes acceptance of updated Terms.

16. Governing Law

These Terms are governed by the laws of Ontario, Canada.

Any disputes shall be resolved in the courts of Ontario.
